Singapore companies keep three private registers about who controls them: the Register of Registrable Controllers (RORC), the Register of Nominee Directors (ROND) and the Register of Nominee Shareholders (RONS). Changes also go to ACRA’s central registers. We set up the registers, keep them current and make the filings.

At a glance
| Register | Kept at | Update the private register | File to ACRA central register |
|---|---|---|---|
| RORC | Registered office or corporate service provider’s office | Within 7 days of changes, starting after the controller confirms their details; send notices to controllers at least once a year | Within 2 business days of updating |
| ROND | Registered office or CSP’s office | Within 7 days of any change | Within 2 business days of updating |
| RONS | Registered office or CSP’s office | Within 7 days of any change | Within 2 business days of updating |
For ROND and RONS: no extension of time is available, and late or missed filings may lead to prosecution and fines of up to $25,000. Only nominee status (“ND” or “NS”) appears on the Business Profile.
What triggers an update
- A shareholder or director becomes or stops being a nominee (the nominee must tell the company within 30 days of becoming one)
- A share allotment or transfer, see share transfer and allotment
- A change in who ultimately controls the company
- A change in a controller’s or nominator’s particulars
What we do
- Set up the private registers on the day of registration, or review existing ones.
- Collect details from controllers and nominators, and send the yearly notice to controllers.
- Update within 7 days of a change.
- File with ACRA within 2 business days of each update.
- Reconcile against share records and nominee arrangements, see nominee director and nominee shareholder.
- Keep the registers at the registered office, see registered office address.
Example (illustration only)
When ABC Holdings allots new shares to an investor on 12 March, we record the change in the RORC within 7 days and file with ACRA’s central register within 2 business days of the update, and the nominee registers are reviewed in the same pass.
Questions we get asked
Is this part of annual company secretarial work? It runs through the year, because changes trigger the deadlines. See company secretarial services.
Can we ask for more time? ACRA says no extension is available for ROND and RONS filings.
Who can see the registers? Only the nominee status appears publicly. ACRA says members of the public cannot buy ROND or RONS information.
